The following terms and conditions govern all the use of the website www.localmarketingforall.com (the “Website”). All content, services, features activities and products available through the Website all together the Services on the Website (“Services” “Service”). These Services are provided by QuArte Local Marketing ("us", "we", or “our") a dba owned and operated by QuArte Designs, Inc. (“The Company”). This is an agreement between you or the company or entity you represent (“Members”) and The Company. The use of all the paid services, products on or through the Website as Services (“Membership” or “Account”)

Your access to and use of the Website and Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, Members and others who access or use the Services. By accessing or using the Services you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access or use the Service.

General Terms

QuArte Designs, Inc reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, are subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes.

Violation of any of the terms below will result in the termination of Members’ Membership. Members understand and agree that QuArte Designs, Inc. cannot be responsible for the Content posted on the Service. You agree to use the Service at your own risk.

Intellectual Property

All copyright, trade marks, design rights, patents and other intellectual property rights (registered and unregistered) in and on QuArte Designs, Inc. or third parties (which may include Members or other users.) The QuArte Designs, Inc. reserves all of its rights in QuArte Designs, Inc. Content and QuArte Designs, Inc. Services. Nothing in the Terms grants you a right or license to use any trade mark, design right or copyright owned or controlled by the QuArte Designs, Inc. or any other third party except as expressly provided in the Terms. QuArte Designs, Inc. reserves the right to display a link to FillYourTables.com in the bottom of your website.

Our Service may contain links to third­-party web sites or services that are not owned or controlled by QuArte Designs, Inc.

QuArte Designs, Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or Services. You further acknowledge and agree that QuArte Designs, Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or Services.

We strongly advise you to read the terms and conditions and privacy policies of any third-­party web sites or Services that you visit.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Broward Country, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Support

Membership includes access to email support. Members have the ability to request technical support by email at anytime QuArte Designs, Inc. membership, Members should expect an answer within reasonable time 1 - 2 days business day.

Membership

A Valid credit card is required when Members sign up. All fees are stated in U.S. dollars 

Members agree to pay in advance to QuArte Designs, Inc. on monthly or annual subscription fees depending on the Service period & plan selected. Services will be operating for a month or year period, depending on Subscription length. Payments will be charged on a pre-pay bases on the Members registration/signup. Fees are not refundable. Members must provide current and accurate billing and credit card information.Initial payment is made the day the membership starts. 

Rate Protection: Members will continue at their contract rate through the length of their contract, regardless of any rate increases during that period. In order to get the special price member must subscribe for a year and payment of the total yearly fee should be paid at once. Payments will automatically deducted from given credit card. 

Renewal Policies: The plans are renew monthly or annually, the Members have the obligation to make the payments on time on the due date. At the end of Members’ Membership period will be automatically renew for a membership period equal to the prior period unless Members notify QuArte Designs, Inc. in writing 30 days prior to the end of current membership. Renews are made automatically unless otherwise stated in the contract. 

 

Payment Policies and Terms: All new Members’ Membership is automatically deducted from credit card provided by Member during registration and will be automatically renew in advance each billing cycle. Billing cycles are on a month-to-month basis or a yearly basis. 

Taxes: All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.

Upgrades/Downgrades

Members can upgrade and downgrade Membership at anytime. 

If Members upgrade plan level, they will immediately be charged for the increased price of the ungraded Service, pro-rated to reflect the remaining duration of membership. Member will be charged the full amount of their current membership period at the current Service rate.

Downgrade of Services will take effect on the next billing cycle, members will not receive any refunds for payments made on current billing cycle. Downgrading may cause the loss of account content, features, and other services.

Cancellation and Termination

Members are solely responsible for properly canceling their Membership.

All of their Content will be deleted from the Service upon cancellation. This information cannot be recovered once your account is cancelled.

If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again. No refund or credits will be provided for partial or unused moths of the Services.

Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if Members breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

QuArte Designs, Inc., in its sole discretion, has the right to suspend or terminate members’ account and refuse any and all current or future use of the Service, or any other QuArte Designs, Inc. Service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of Members’ Account or Members access to their Account, and the forfeiture and relinquishment of all Content in their Account.

QuArte Designs, Inc. reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

QuArte Designs, Inc. shall not be liable to Members or to any third party for any modification, price change, suspension or discontinuance of the Service.

License

Members grant QuArte Designs, Inc. a license to use the materials they post to the Services. By posting, downloading, displaying, performing, transmitting, or otherwise distributing user content to the Service, they are granting QuArte Designs, Inc., its affiliates, officers, directors, employees, consultants, agents, and representatives a license to use user content in connection with the operation of QuArte Designs, Inc., its affiliates, officers, directors, employees, consultants, agents, and representatives, including without limitation, a right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat user content. Members will not be compensated for any user content. By posting user content on the Service, members warrant and represent that members own the rights to the user content or are otherwise authorized to post, distribute, display, perform, transmit, or otherwise distribute user content. By accessing the Website or using the Services, Members hereby grant to QuArte Designs, Inc. a world-wide, royalty-free, transferrable and non-exclusive license to reproduce, modify, adapt and publish the Content solely for the purpose of displaying, distributing and promoting Members’ website(s), and if applicable on Services, storing it on Our servers. This license exists only for as long as Members continue with the Membership and shall be terminated only upon receiving written notice from Members.

Content

Members are responsible for any Content that may be lost or unrecoverable through use of the Services. You are encouraged to archive Your Content regularly and frequently

Responsibilities

Members are responsible for all Content posted and activity that occurs under Members’ account (even when Content is posted by us or others who have access to your account).

Members may not use the Service for any illegal or unauthorized purpose. Members must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

Vendors

Members understand that QuArte Designs, Inc. uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, or any other QuArte Designs, Inc. service.

Liability

Members expressly understand and agree that QuArte Designs, Inc. shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if QuArte Designs, Inc. has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the Services.

LIMITATION OF LIABILITY

WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
